C&BProductions agrees to provide:
▫️A professional Artist with the necessary qualifications, experience, and abilities to provide the type of service the client requests.
▫️The Term of this Agreement will begin on the day it’s received and will remain in full force and effect until the completion of the performance.
▫️The Performer’s representative (C&BPRODUCTIONS) warrants that by creating this Agreement, it has the authority to bind the Artist to the terms and conditions exposed on invoice # 201
▫️Artist(s) Setup will begin at your discretion as early as one and a half hours before the performance.
▫️Sound System (if provided by us) will begin a minimum of two hours before the event. All equipment will be set up 15 minutes before the start time and cleared from the venue 1 hour after the performance ends.
▫️All written and oral information and material disclosed or provided by the Client under this Agreement is Confidential Information regardless of whether it was provided before or after the date of this Agreement or how it was provided to us.
Client agrees to Provide:
▫️COMPENSATION: A non-refundable 50% Deposit not later than seven days after receiving the Invoice and Outstanding balance due before the performance starts. Failure to pay on the scheduled date (without previous notice) will result in a second invoice with a late fee of 10% of the amount due. If left unpaid for more than a month, this fee will be increased to 50%. If left unanswered, we will follow by collective action from an outside agency.
▫️ARTISTS HOSPITALITY: We request a minimum attention to the artist[s] like
➖Water available on stage
➖A green room [or similar] to save equipment cases and to prepare for the performance.
➖If available Parking accommodations/information.
▫️CONFIDENTIAL INFORMATION Refers to any data or information relating to this event, including but not limited to contact information and all others that would reasonably be considered private or proprietary of C&BPRODUCTIONS.
➖The Client agrees that they will not disclose, divulge, reveal, report, or use, for any purpose, whether business or personal, any confidential information that the Client has obtained from C&BProductions’s Artists. The confidentiality obligations and future contracts with any C&BProductions’s Artists will apply during the Term and will survive indefinitely upon termination of this Agreement.
▫️CANCELLATION FEES As a courtesy to our clients, this band and every musician in it refrain from accepting other performance opportunities on this date. For this reason, if the cancellation is notified only two weeks before the event date, a 50% fee of the balance due will be in place. If the cancellation occurs on the day of the event, this fee will increase to the total amount due. When requesting an alternative rain date and the original event gets canceled, we would need to cover the rehearsal expenses for the second time. ($50.00 per musician).
▫️REIMBURSEMENT OF EXPENSES Will be provided for reasonable and necessary expenses incurred by the Artist in connection with providing this performance (e.g., unexpected parking fees, insurance or equipment rental, etc.). (All expenses must be pre-approved by the Client.)
▫️LODGING ARRANGEMENTS An extra fee will be added for lodging accommodations when the event is further than 60 miles from Boston (Band’s Location) and/or the length of the event goes beyond midnight. (Options and expenses must be pre-approved by both parties involved.)
▫️STAGE (Recommended size 16’ deep x 20’ wide stage area) The Client will take responsible precautions for the Performer’s safety and the Performer’s equipment during all aspects of the performance. The purpose of this clause is also to ensure that the Client is prepared to assume obligations of sponsoring outdoor events and acknowledges all the risks involved, particularly those without alternate indoor facilities. (To clarify the provisions involved with the primary problems of outdoor events: inclement weather and unsafe staging area).
➖The Client It’s the responsibility to provide a staging area. With dedicated 20 amp / 110-volt circuits for the Sound equipment and band’s use exclusively. However, the Artist does not require a stage as long as the performance area is clean (without party decorations that minimize the space), level, dry, covered, and protected from all-weather elements.
➖For health and safety purposes, the Artist will not be obligated to perform in an outdoor environment where the temperature is less than 73 degrees or more than 90 degrees Fahrenheit, perform on wet surfaces, or under conditions where precipitation poses a safety threat to the musicians, road crew, or the equipment. ➖Upon the artists’ arrival, road crew, or equipment, the Client will determine where the performers should set up their equipment. The Artists will not begin to set up more than once as they are not bound to set up a second time. If conditions change or become unacceptable, as defined above, the Client must pay the Artist after the Artist arrives.
➖Should the Client decide to utilize an alternative indoor location in anticipation of inclement weather and the inclement weather conditions fail to materialize, the Artists are not obligated to set up the equipment a second time.
➖The Client is also responsible for ensuring that only the Performer and its designated technicians and representatives are allowed on Stage or in the backstage area.
General Terms:
▫️GOVERNING LAW This Agreement will be governed by and construed per the laws of the Commonwealth of Massachusetts.
▫️CAPACITY/INDEPENDENT CONTRACTOR In providing the Services under this Agreement, we understood that C&BProductions acts as an independent contractor, not an employee. Both parties acknowledge that this Agreement does not create a partnership or joint venture between them and is exclusively a service contract. The Client is not required to pay or contribute to any social security, local, state, or federal tax, unemployment compensation, workers’ compensation, insurance premium, profit-sharing, pension, or other employee benefits during the Term.
▫️OWNERSHIP OF INTELLECTUAL PROPERTY All intellectual property and related material developed or produced under this Agreement will be the property of C&BProductions. Title, copyright, intellectual property rights, and distribution rights of the Intellectual Property remain exclusively with C&BProductions. The Client is granted a non-exclusive limited-use license of this Intellectual Property on the day of the event only.
▫️ASSIGNMENT C&BProductions’s Artists will not voluntarily, or by operation of law, assign or otherwise transfer its obligations under this Agreement without the Client’s prior written consent.
▫️MODIFICATION OF AGREEMENT Any amendment or modification of this Agreement or additional obligation assumed by either Party in connection with this Agreement will only be binding if each Party or an authorized representative signs the evidence.
▫️SEVERABILITY Suppose any of the provisions of this Agreement are held to be invalid or unenforceable in whole or part. In that case, all other provisions will remain valid and enforceable with the invalid or unenforceable parts severed from the remainder of this Agreement.
*By e-Signing, all parties involved agree to perform their obligations under this Agreement, in all respects, in good faith.
